1. Agreement to Terms
These Terms of Use ("Terms") are a binding agreement between LDImpact LLC ("LDImpact," "we," "us," or "our") and the individual or entity that accesses or uses the LDImpact service ("Customer," "you," or "your"). By creating an account, accessing, or using the Service, you agree to these Terms. If you enter into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2. Definitions
- Service or Platform means the LDImpact software-as-a-service application, including its websites, dashboards, and related tools, made available at app.ldimpact.com and related domains.
- Direct Subscription means a subscription under which a Customer uses the Service to measure and analyze the impact of learning and development ("L&D") programs for the Customer's own organization and personnel.
- Service Provider Subscription means a subscription under which a Customer (a "Service Provider") uses the Service to deliver L&D measurement and analysis services to one or more separate third-party client organizations.
- Service Provider means a Customer that holds a Service Provider Subscription, such as an agency, consultancy, or other firm that designs, develops, implements, or evaluates L&D programs for its clients.
- Client Organization means a third-party organization on whose behalf a Service Provider uses the Service under a Service Provider Subscription.
- Authorized User means an individual whom the Customer (or, where applicable, a Client Organization) permits to access the Service under the Customer's subscription.
- Customer Data means data, files, and information that the Customer or its Authorized Users submit to or generate within the Service, including L&D program data and analysis results.
3. The Service
The Service provides tools to estimate and analyze the business impact and return on investment of L&D programs, including statistical analyses and AI-assisted interpretive insights. We may update, enhance, or modify the Service from time to time.
4. Accounts and Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to use strong passwords, keep credentials secure, and notify us promptly at support@ldimpact.com of any unauthorized use. We store passwords only in hashed form and cannot retrieve them.
5. Subscription Types and Permitted Use
5.1 Direct Subscription
A Direct Subscription authorizes the Customer to use the Service solely to measure and analyze L&D programs relating to the Customer's own organization and its own personnel. A Direct Subscription may not be used to provide services to, or to process the data of, separate third-party client organizations.
5.2 Service Provider Subscription
A Service Provider Subscription authorizes the Customer to use the Service to deliver L&D measurement and analysis services to its Client Organizations, subject to the additional terms in Section 6. Each Client Organization is provisioned as a separate, logically isolated workspace within the Service.
5.3 Required Subscription for Multi-Client Use
Using the Service to design, deliver, evaluate, or otherwise provide services for multiple separate third-party client organizations — or to process the data of such organizations — requires a Service Provider Subscription. You may not use a Direct Subscription to circumvent this requirement, including by commingling multiple client organizations' data within a single organization workspace. We reserve the right to require an appropriate subscription and to suspend or terminate accounts used inconsistently with the applicable subscription type.
6. Service Provider Terms
This Section applies to Customers holding a Service Provider Subscription.
- Responsibility for Client Organizations. The Service Provider is responsible for its Client Organizations and their Authorized Users, including their compliance with these Terms, and for obtaining all rights and consents necessary to submit Client Organization data to the Service.
- Data processing. As between LDImpact and the Service Provider, the Service Provider is responsible for the Customer Data of its Client Organizations and represents that it is authorized to process such data on their behalf.
- Billing. The Service Provider is solely responsible for all fees associated with its subscription and its Client Organizations, and for any billing arrangements between the Service Provider and its Client Organizations. LDImpact bills the Service Provider, not its Client Organizations.
- Account ownership. Client Organizations provisioned by a Service Provider are managed by that Service Provider. LDImpact is not a party to the relationship between a Service Provider and its Client Organizations.
- Transition on termination. Upon termination of a relationship between a Service Provider and a Client Organization, the parties are responsible for arranging the retention, transfer, or deletion of that Client Organization's Customer Data. Where feasible, LDImpact may assist in transferring a Client Organization's data to a separate subscription.
7. Fees and Payment
Fees, billing frequency, and subscription scope are as agreed between you and LDImpact (for example, in an order, online sign-up, or written quote). Unless otherwise stated, fees are in U.S. dollars, are non-refundable except as required by law, and are due in advance. We may change fees upon renewal with notice. You are responsible for applicable taxes.
8. Customer Data and Ownership
As between the parties, the Customer (and, where applicable, its Client Organizations) owns all Customer Data. You grant LDImpact a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide and support the Service and as otherwise permitted by these Terms and our Privacy Policy. We may use aggregated or de-identified data that does not identify you or any individual to operate and improve the Service.
9. Acceptable Use
You agree not to: (a) use the Service in violation of law or third-party rights; (b) attempt to gain unauthorized access to the Service, other customers' data, or related systems; (c) reverse engineer, decompile, or attempt to derive source code, except as permitted by law; (d) interfere with or disrupt the integrity or performance of the Service; (e) resell, sublicense, or make the Service available to third parties except as expressly permitted by your subscription type; or (f) upload malicious code or unlawful, infringing, or harmful content.
10. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by LDImpact and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term, subject to these Terms. All rights not expressly granted are reserved.
11. Confidentiality
Each party may receive confidential information of the other. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care. Customer Data is the Customer's confidential information. These obligations do not apply to information that is or becomes public through no fault of the receiving party, is independently developed, or is rightfully received from a third party.
12. Third-Party Services
The Service relies on third-party providers, including cloud infrastructure and providers of artificial-intelligence functionality used to generate interpretive insights. Your use of the Service may involve transmitting certain data to these providers as described in our Privacy Policy. We are not responsible for third-party services outside our control, and their use may be subject to their own terms.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LDImpact DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. Analyses, estimates, and AI-generated insights are provided for informational purposes only, may contain inaccuracies, and are not a substitute for professional judgment. You are responsible for decisions made based on outputs of the Service.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LDImpact WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE. LDImpact'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO LDImpact FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You will defend, indemnify, and hold harmless LDImpact from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, or your breach of these Terms. Service Providers will additionally indemnify LDImpact against claims arising from their Client Organizations or their relationships with them.
16. Term and Termination
These Terms apply while you use the Service. Either party may terminate a subscription as set out in the applicable order or, if none, on notice. We may suspend or terminate access immediately if you materially breach these Terms, use the Service inconsistently with your subscription type, or create risk or legal exposure for LDImpact.
17. Effect of Termination
Upon termination, your right to access the Service ceases. For a limited period following termination, and where feasible, we will make Customer Data available for export upon request. After that period, we may delete Customer Data in the ordinary course, subject to legal retention requirements and routine backup cycles.
18. Modifications
We may modify the Service and these Terms from time to time. If we make material changes to these Terms, we will provide notice (for example, by posting the updated Terms with a new "Last Updated" date or by email). Your continued use of the Service after changes take effect constitutes acceptance.
19. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles. The state and federal courts located in Philadelphia County, Pennsylvania will have exclusive jurisdiction over disputes arising out of or relating to these Terms, and the parties' consent to venue there, except that either party may seek injunctive relief in any court of competent jurisdiction.
20. General
These Terms, together with any order and our Privacy Policy, are the entire agreement between the parties regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
